1. By placing his/her binding order the Client enters into a Contract of Translation Services, the unabridged version of which is available for download here.

2. Any purchase orders have to be placed in writing. Translation agencies may use their own Purchase Order forms. Direct clients please use the SMART Purchase Order form which is available for download here.

3. The Translator shall consider all information contained within the source and target texts strictly confidential. Under no conditions shall the Translator disclose this information, whether it be in full or part, to any Third Parties, unless required by applicable law. The Translator performs his/her work according to his/her best knowledge and belief, and pursuant to the Code of Ethics of the Union of Translators and Interpreters of the Czech Republic.

4. The Client may raise objections to the quality of translation within seven (7) days from the day on which he/she received the translation. The translator is then obliged to review such objections and to remove and/or provide plausible reasons for any discrepancies within reasonable time. No objections or claims shall be considered after seven (7) days from the day on which the translation is delivered to the Client.

5. The Translator is obliged to deliver his/her translation within the deadline as required by or agreed upon with the Client. If he/she fails to do so, the Client shall be entitled to receive a contractual fine equal to 0.1% for each day past due.

6. The Client is obliged to pay the translation price duly and fully within the agreed deadline. If he/she fails to do so, the Translator shall charge the Client a contractual fine of 0.1% of the total amount due for each day past due.

7. The standard deadline for invoice payments is 10 (ten) business days from the date of issue. This deadline may be extended at the Translator's sole and only will, but it shall never be shorter.

8. All copyrights to translation remain with the Translator as long as the translation price and/or any contractual fines have been fully settled. Shall the Client use the translation without having paid the agreed translation price and/or any contractual fines, such conduct shall be considered gross violation of these Business Terms and Conditions and may be charged with a fine of up to five (5) times the agreed translation price.

9. The Translator has no right to withdraw from a placed binding purchase order, unless in consequence of circumstances beyond his/her control (illness, injury, natural disasters and similar). Should the Translator withdraw from a placed binding purchase order for reasons other than those above, he/she is obliged to reimburse the Client with a contractual fine equal to 10% (ten per-cent) of the total translation price.

10. The Client is entitled to cancel a placed binding purchase order at any time. However, in such a case the following cancellation conditions shall apply:
a) has the Translator not yet started work on the translation and/or made any preparations, the cancellation fee shall amount to 10% (ten per-cent) of the total translation price;
b) has the Translator already started working on the translation and/or made any preparations, the Client is obliged to pay the full price of the services already provided plus a cancellation fee equal to 5% (five per-cent) of the total translation price.

11. Possible invalidity of any of the above Terms and Conditions does not affect the validity of the remaining Terms and Conditions.

12. All possible disputes shall be settled according to the law of the Czech Republic and in the Czech Republic.
